There are generally 5 types of companies:
- Private Comxpanies are generally referred to as "Pty's" (Proprietary Limited companies.)
- Public companies are companies that offer shares to the public.
- Companies not for "gain" are commonly referred to as Section 21's.
- External companies - Companies that are set up in SA by foreigners
- "Off the shelf" companies where ownership changes
Registration Procedure
Description - New company:
A new company is a legal entity which we register from scratch. In this process you are able to choose your own name.
Process - Shelf company:
To register a company will take 2 to 3 weeks and a close corporation will take 1 week before it is completed. The reason for this delay is that the registration process is a two-stage procedure.
However you can opt to register a shelf company which takes less than a day to register
- A shelf company is a pre-registered company with a registration number which is kept dormant until you, the purchaser, choose to buy it. This means you can start trading immediately
- It has zero liability and assets , but needs to be amended in order to change names ,details and particulars. back to top
Registration of company : +- 2 -3 weeks
The following documents must be completed and lodged for the formation of a private, public or section 21 company:
- Minimum of three proposed names for the entity
- Identity documents of all the members or directors
- Special power of attorney signed by all members/directors
- Consent to act as auditor cm31,
you are not obliged to use the auditor appointed by us and are free to appoint any new auditor at your convenience
The client also runs the risk of not getting the proposed names approved due to a conflict with an already existing name. For this reason it is advised to first do a name search to see if the names are available. . Remember to use a descriptive word in the name describing the nature of the business EG Orion Shoe Manufacturing CC as it greatly improves the chances of a successful application. Registration of a close corporation - + 1 week
- Six proposed names for the entity in order preference
- Copy of identity documents of applicant and all the members
- Signed special power of attorney (obtainable from us )
- Consent to act as an accounting officer
- You are not obliged to use the accounting officer appointed by us and are free to appoint any new accounting officer at your convenience. back to top
Application for deregistration of a close corporation / company.
Requirements:
- Certified identity document copies
- A letter, on the letterhead of the company, applying for deregistration must be addressed to CIPRO (P O Box 429, Pretoria, 0001) The Letter, which must be signed by all the members, must state that there are no assets or liabilities in the close corporation.

How to Apply - Trade mark
- Complete a form TM1 in triplicate. Two copies are for office use and the third is returned to the applicant as proof of the application.
Please note: that you have to file a separate Trade Mark Application for each international class of goods or services, for which you would like to use your Trade Mark. For example, if you manufacture and also sell cars, you have to file two trade mark applications:
One in class 12: vehicles, apparatus for locomotion by land, air or water: and
One in class 35: ... retail, wholesale, import export services...
- To identify your proper class for goods or services go to: Nice Classification - 8th edition at http://www.wipo.int/classifications/fulltext/nice8/enmain.htm. Alternatively, come to the office or contact us will be able to assist you to identify the correct class/es of your goods and/or services.
- Indicate the class in Field 51 of the form TM1.
- Indicate all the goods or services for which you would like to use the Trade Mark in Field 57 of the form TM1.
Should your application comply with all the formal requirements, your application will be allocated an application date and an official application number.
Requirements:
- Identity document of the applicant /representative
- Close corporation certificate or company certificate (not applicable to individuals)
- Picture of the slogan ,brand name or logo - in colour and all the fonts, features of the design clear.
- Sample of product /service - General unique selling proposition or technical specifications (where applicable)
